DV Media Labs LLP aims to deal with its clients in an advanced, professional, timely and result oriented manner. By engaging DV Media Labs LLP with their business, the clients will be accepting the following terms and conditions:

The Contract

An independent contractor relationship will be created between the clients and DV Media Labs LLP, and that no partnership or joint venture is intended or implied by either party. A date of commencement of the services will beagreedupon by both parties and charges will beapplicable according to that date. Either party may not cancel or fully transfer the service responsibilities to another service vendor before a prior notice of at least 10 business days.

Sub Contracting

DV Media Labs reserves the right to subcontract a third party service provider for some of the service tasks as and when required and arise suddenly in between the contract or workings. A person who is not a party to the Contract shall not have any rights under or in connection with it. Type of subcontracting will not be the core part of work or any other sensitive part of work if agreed with a client with a non-disclosure agreement/ NDA.

Planner

• Monthly planner will be discussed and shared with the client on email provided by the client, where our team will design the implementation strategy and planner which will be subjective of posts, description, hashtags, work updates etc. Planner will be given for one month considering working days of the weeks.

Reporting

• A monthly report of performance services will be given to the clients.
• Format of the reporting will be of DV Media Labs standards where we will be providing the same in PDF Format on email and whatsapp or any other communication mode clients demands except physical copy, as after the pandemic situations we have discontinued providing physical copy of monthly reporting.

Payment Terms

• If clients avail any monthly service package of DV Media Labs then they are obliged to pay a full chargeable amount of next three months or one quarter in Financial Year, prior to the commencement of the work, in return we will raise proforma invoice for payment, and tax invoice after the on account payments.
• Advance amount will be considered as a full three month advance as per agreed package and will be prior to the commencement of the work with due procedure of Purchase Order from client on concerned emails.
• Also, if the clients do not pay a monthly invoice when it is due, DV Media Labs shall terminate the services immediately. In this case, we will not be liable to issue a 10 day prior notice.

Liability

DV Media Labs will not be liable for any indirect or consequential losses due to delay in obligated service deliverables, where the delay is because of natural or ungovernable causes.

The clients will defend, cover and hold DV Media Labs harmless from and against any and all claims, losses, liabilities and expenses related to the services provided by DV Media Labs to the clients under this agreement, including without limitation claims made by third parties related to any false advertising claims, liability claims for products or services sold by the client, claims for patent, copyright or trademark infringement, claims due to disruption or malfunction of services provided, or for any content submitted by you for publication by DV Media Labs.

Data Content, Controls and Other Necessary Permissions Handover

Client is supposed to provide data and necessary controls for social media platforms handovers, password (with prior confidentiality & credibility) Website Admin Panel link on email etc as per plan selected for digital media marketing. Data for making posts, website for SEO or admin panel are supposed to be handed over by client to DV MEdia Labs in a special email for further work in cooperation under the work contract. Due to the nature of digital media, any content/information given by the clients to DV Media Labs for publication will be accessible by DV Media Labs assigned person for time being and while this contract is taking place. DV Media Labs will not be responsible for screening the material and any damages or losses of profit, goodwill or any business asset due to the nature of content being publicised.

Any material given by client will be considered for publishing as plan and work of Marketing, DV Media Labs is not responsible for any data loss, misuse by third party, as our precise role is to create content for the objectives of marketing as per service or plan provided and agreed by DV Media Labs and the client.

Waiver

If at any time during the term of a service contract, we fail to insist upon the strict performance of any of your obligations under the service contract or any of these terms and conditions, then this will not automatically free you from any of the obligations mentioned in the terms and conditions and will not constitute a waiver.

Any waiver of terms and conditions will be valid officially only if it is communicated to you in writing on email or physically on NDA.

Privacy Rights

Information, like name, email, passwords, contact number, website URL that the clients provide us by filling the contact form will be kept confidential and not be exposed to a third party, without their prior consent. However, the information will be made privy to the employees of DV Media Labs.

DV Media Labs will take reasonable precautions to prevent the loss, misuse or alteration of your personal information.

The transfer of data over the internet is inherently insecure, and any kind of security in this regard cannot be guaranteed by Marketingaxle . Although, we use SSL encrypted technology for making any kind of money transaction to ensure maximum security against online theft and fraud.

Cookies are used to track the browsing information/preferences of web users and we may use Cookies to gather statistical data about your browsing pattern for optimising our site.

Some of the third party advertisers who have their ad links on our website may also use Cookies to gather statistical information about you. However, in no way Cookies give access to any of your personal information either to us or third party entities.
